Terms of Service
HALYO — India's Wedding Marketplace
These Terms constitute a legally binding agreement between you ("User", "Vendor", "you") and HALYO ("HALYO", "Platform", "we", "us", "our"), an online technology marketplace intermediary operating at halyo.in, facilitating discovery and inquiry connections between wedding service seekers and wedding service providers across India.
Critical Platform Notice — Read Before Using
- — HALYO is a technology marketplace platform only. We are not a vendor, venue, event planner, or wedding service provider.
- — HALYO is not a party to any contract, transaction, or agreement between Users and Vendors.
- — HALYO does not process payments. All financial transactions occur directly between Users and Vendors.
- — HALYO makes no guarantee of vendor quality, pricing accuracy, availability, service delivery, licensing, permits, safety, or performance.
- — Users bear sole responsibility for independently verifying all vendor information before entering any agreement or making any payment.
2.1 What HALYO Does
- Provides technology infrastructure for Vendors to create and publish Listings
- Enables Users to search, discover, and filter Vendor Listings
- Provides a messaging and inquiry system for Users to contact Vendors
- Provides planning tools including wedding checklists, budget calculators, guest lists, and e-invite creators
- Publishes reviews and ratings from verified Users
- Displays Vendor information as provided by Vendors
2.2 What HALYO Does Not Do
- HALYO does not independently verify the accuracy, completeness, or legality of Vendor Listings
- HALYO does not guarantee that Vendors hold required business licenses, permits, GST registrations, FSSAI licenses, or any other regulatory compliance
- HALYO does not guarantee Vendor availability for any date or event
- HALYO does not process, hold, or intermediate any payments between Users and Vendors
- HALYO does not guarantee the performance or quality of any Vendor's services
- HALYO does not act as an agent, partner, franchisee, or representative of any Vendor
- HALYO does not guarantee that a Booking inquiry will result in a confirmed booking
3.1 Eligibility
To use the Platform, you must be at least 18 years of age and legally capable of entering into binding contracts under Indian law. By using the Platform, you represent and warrant that you meet these requirements.
3.2 Account Registration
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Maintain the confidentiality of your account password and login credentials
- Accept sole responsibility for all activities that occur under your account
- Immediately notify HALYO of any unauthorized access or use of your account at halyobookings@gmail.com
- Not create more than one account without HALYO's written permission
- Not use another person's account without authorization
3.3 Account Types
- User Account: For individuals seeking wedding services. Enables inquiry submission, checklist management, guest list, budget tools, and saved listings.
- Vendor/Owner Account: For businesses and individuals offering wedding services. Enables creation and management of Listings, inquiry management, and booking tracking.
- Admin Account: Reserved exclusively for authorized HALYO team members.
4.1 Conduct on the Platform
As a User, you agree to:
- Submit only genuine, good-faith inquiries to Vendors
- Provide accurate contact information and event details in inquiries
- Not submit duplicate, spam, or fake inquiries to the same or multiple Vendors
- Respond to Vendor follow-up communications in a timely manner
- Not use Vendor contact information obtained through HALYO for purposes unrelated to the inquiry
- Independently verify all Vendor information (pricing, availability, services, licenses) before entering any agreement
- Conduct your own due diligence before making any payment to a Vendor
- Comply with all applicable laws in your use of the Platform
4.2 Reviews and Ratings
- Submit reviews only for Vendors with whom you have had genuine first-hand experience
- Ensure all review content is truthful, accurate, and fair
- Not submit fake, incentivized, defamatory, or malicious reviews
- Not submit reviews on behalf of another person
- Not submit reviews as a competitor of the Vendor or its associates
5.1 Listing Accuracy
By creating a Listing on HALYO, Vendors represent, warrant, and agree that:
- All information in the Listing (name, description, services, pricing, location, capacity, availability, amenities) is accurate, complete, and not misleading
- All photographs and visual content in the Listing are genuine, belong to or are licensed by the Vendor, and accurately represent the actual venue or services offered
- Pricing displayed is the actual current pricing or a genuine indicative range, and does not include hidden charges not disclosed to Users
- You hold all necessary business licenses, municipal permissions, fire safety permits, FSSAI licenses (if applicable), GST registrations, and any other regulatory approvals required to operate your business
- You are legally authorized to offer the services described in your Listing
- You will update your Listing promptly to reflect any changes in pricing, services, availability, or business information
5.2 Inquiry Response
- Respond to genuine User inquiries within 48 hours of receipt
- Provide honest and accurate information to Users in response to inquiries
- Not harass, mislead, or pressure Users following inquiry contact
- Not use User contact information for any purpose other than responding to the specific inquiry
5.3 Vendor Compliance
- Comply with all applicable laws, regulations, and government orders in the conduct of your business
- Maintain all required permits, licenses, and registrations throughout the period your Listing is active on the Platform
- Not engage in any activity that would expose HALYO to legal liability
- Promptly inform HALYO if your business ceases operation, is suspended by regulators, or if any material information in your Listing changes
6.1 Listing Review and Approval
All new Vendor Listings submitted on HALYO are subject to review and approval before publication. HALYO reserves the right to approve, reject, request modification of, or hold pending review any Listing at its sole and absolute discretion, with or without providing reasons.
6.2 Ongoing Moderation Rights
HALYO reserves the right at any time, without prior notice and without liability, to:
- Edit, update, or correct any Listing content for accuracy or compliance
- Remove or unpublish any Listing that violates these Terms or applicable law
- Temporarily suspend a Listing pending investigation of a complaint or reported issue
- Permanently remove a Listing for repeated violations, fraud, or upon regulatory direction
- Flag, annotate, or add disclaimers to any Listing
- Reorder, feature, or deprioritize Listings in search results at its discretion
- Remove outdated Listings that have not been updated by the Vendor for an extended period
6.3 Featured Listings
HALYO may, at its discretion, feature certain Listings prominently on the Platform based on factors including (but not limited to) user engagement, review quality, completeness of listing information, and platform promotional decisions. Featured placement does not constitute endorsement, recommendation, or guarantee of quality by HALYO.
7.1 Inquiry Process
- Submitting an inquiry through HALYO initiates contact between you and the Vendor
- The Vendor will respond directly to your contact details to discuss the booking
- Any contract, agreement, or payment arrangement is formed directly between you and the Vendor
- HALYO is not a party to any such arrangement and bears no responsibility for its terms or fulfillment
7.2 No Guarantee of Availability
Availability information displayed on Vendor Listings is provided by Vendors and may not be real-time or accurate. HALYO does not guarantee that a Vendor is available for your requested date. Always confirm availability directly with the Vendor before making any payment.
7.3 No Guarantee of Pricing
Pricing information on Listings is indicative only and is provided by Vendors. Actual pricing may vary. Always obtain a formal written quotation directly from the Vendor before committing to any booking or payment.
7.4 No Online Payments
HALYO does not process, collect, hold, or intermediate any payments between Users and Vendors. All payments are made directly to Vendors by Users. HALYO has no responsibility for any payment disputes, refund claims, or financial losses arising from User-Vendor transactions.
Specifically, HALYO does not guarantee and expressly disclaims any warranty that:
- Any Vendor holds valid and current business licenses, permits, or regulatory approvals
- Any Vendor will deliver services as described in their Listing
- The quality of services will meet your expectations or any particular standard
- Food served by any caterer is safe, hygienic, or compliant with FSSAI requirements
- Any Venue complies with applicable fire safety, structural, or event safety regulations
- Any Vendor's services or practices are legal under applicable laws
- Any Vendor's portfolio images, testimonials, or claimed awards are genuine
- Any Vendor will honor the agreed pricing or contract terms
- Services will be delivered on time or at all
Users are solely and entirely responsible for conducting their own independent verification, due diligence, physical inspection, and background checks of any Vendor before entering any agreement, making any payment, or entrusting any event to them.
9.1 HALYO Platform Content
All platform content created by HALYO, including but not limited to the HALYO name, logo, branding, design, interface, source code, copy, blog articles, planning tools, and other original material, is the exclusive intellectual property of HALYO and is protected by Indian copyright, trademark, and other intellectual property laws. Unauthorized reproduction, distribution, modification, or commercial use of any HALYO content is strictly prohibited.
9.2 User-Generated and Vendor Content
You retain ownership of content you create and submit to the Platform (your review text, your listing photographs, your business description). By submitting content to HALYO, you grant HALYO a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to host, store, display, reproduce, modify, adapt, distribute, and promote such content on and in connection with the Platform, including on social media and in marketing materials.
9.3 Content Representations
By submitting any content to HALYO, you represent and warrant that:
- You own or have the legal right to submit and license the content
- The content does not infringe any third party's intellectual property, privacy, or other rights
- The content is not defamatory, obscene, illegal, misleading, or otherwise harmful
- You have obtained all required consents from persons identifiable in any photographs
- The content does not violate any law, regulation, or order applicable in India
9.4 Content Removal
HALYO may remove any user-generated content at any time without notice if it violates these Terms, applicable law, or for any other reason at HALYO's sole discretion. HALYO is not liable for loss of any user-submitted content.
You agree not to engage in any of the following on or in connection with the Platform:
10.1 Fraudulent and Harmful Conduct
- Submitting fake, false, or fabricated booking inquiries, reviews, or account information
- Impersonating any person, business, or entity including HALYO staff
- Creating multiple accounts to circumvent restrictions or bans
- Using the Platform to conduct scams, phishing, or financial fraud
- Attempting to extort Vendors through threats of false negative reviews
10.2 Technical Violations
- Scraping, crawling, or extracting data from the Platform by automated means
- Reverse engineering, decompiling, or attempting to access HALYO's source code
- Uploading malware, viruses, or malicious code
- Attempting to gain unauthorized access to any part of the Platform or its infrastructure
- Interfering with or disrupting the Platform's operation or servers
- Circumventing any access controls, rate limits, or security measures
10.3 Unlawful and Prohibited Content
- Publishing or transmitting content that is obscene, pornographic, or sexually explicit
- Publishing content that promotes violence, hatred, discrimination, or illegal activities
- Publishing content that defames, harasses, or threatens any person
- Publishing content that infringes the intellectual property rights of any third party
- Using the Platform for any activity prohibited under the IT Act, 2000, IPC, or other applicable Indian laws
10.4 Competitive and Commercial Misuse
- Using Vendor or User contact information obtained through HALYO for unsolicited marketing
- Contacting Vendors or Users to direct business away from the HALYO Platform
- Creating a competing marketplace or service using HALYO's data
- Publishing false information about a competitor Vendor to damage their reputation
11.1 Authentic Reviews Only
HALYO's review system is intended for genuine, first-hand consumer feedback. Reviews must be based on actual experience with the Vendor. The following are strictly prohibited:
- Fake reviews, self-reviews, or reviews by Vendor employees or associates
- Incentivized reviews (reviews in exchange for discounts, gifts, or other consideration)
- Competitor reviews intended to damage another Vendor
- Retaliatory reviews submitted in bad faith following a dispute
- Reviews containing personal information, contact details, or links
- Duplicate or spam reviews
11.2 HALYO's Moderation Rights
HALYO reserves the right to approve, reject, edit, or remove any review at any time without prior notice. HALYO may remove reviews it determines in its sole discretion to be inauthentic, spammy, defamatory, or otherwise in violation of this Policy.
11.3 Vendor Dispute of Reviews
Vendors may flag specific reviews for HALYO's attention if they believe a review violates this Policy. Flagged reviews will be assessed by HALYO and may be removed or retained at HALYO's sole discretion. Flagging a review does not guarantee its removal.
12.1 HALYO's Right to Suspend or Terminate
HALYO reserves the absolute right to immediately suspend, restrict, or permanently terminate any account, without prior notice, for any of the following (non-exhaustive) reasons:
- Violation of any provision of these Terms of Service
- Suspected or confirmed fraudulent activity
- Submitting false, misleading, or inaccurate Listings or information
- Spam, abuse, or harassment of other Users or Vendors
- Multiple complaints or negative reports from other Users or Vendors
- Suspicious account activity suggesting unauthorized access or identity fraud
- Non-compliance with a legal order or request from a government authority
- Reputational harm to the HALYO brand or Platform
- Non-responsiveness to User inquiries combined with pattern of complaints
- Business closure, insolvency, or regulatory action against a Vendor
- Any other reason HALYO determines in its sole discretion warrants action
12.2 Effect of Termination
- All Listings associated with a terminated Vendor account will be immediately unpublished
- Users will lose access to all account features including saved listings, checklist data, and inquiry history
- HALYO may retain certain data post-termination for legal and fraud-prevention purposes as described in the Privacy Policy
- Terminated users may not re-register without HALYO's explicit written permission
12.3 User-Initiated Account Deletion
You may delete your account at any time from Account Settings. Account deletion is subject to the data retention terms in our Privacy Policy.
Aggregate Liability Cap: In the event that a court of competent jurisdiction determines that HALYO is liable for any loss or damage notwithstanding the above exclusions, HALYO's aggregate liability to any single User or Vendor for all claims combined shall not exceed INR One Thousand (₹1,000) — reflecting HALYO's free-of-charge nature to Users and the nominal platform fee (if any) paid by Vendors.
HALYO expressly disclaims all warranties including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses
- Any warranty that Vendor Listings are accurate, complete, current, or reliable
- Any warranty that the Platform will meet your requirements or expectations
- Any warranty regarding the outcome of any booking or transaction with a Vendor
- Any warranty regarding the authenticity or accuracy of user reviews and ratings
You agree to defend, indemnify, and hold harmless HALYO, its parent entities, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform
- Your violation of any provision of these Terms
- Your violation of any applicable law, regulation, or third-party rights
- Any content you submit to the Platform, including Listings, reviews, photographs, or messages
- Any dispute between you and another User, Vendor, or third party
- Any transaction, contract, payment, or agreement between you and a Vendor
- Any claim arising from services you provide as a Vendor, including service failures, refund disputes, injuries, or regulatory violations
- Any unauthorized use of your account
16.1 HALYO's Intellectual Property
The HALYO name, logo, trade dress, and all associated trademarks are the exclusive property of HALYO. The Platform's software, design, architecture, database structure, proprietary algorithms, and original written content are protected by copyright and other intellectual property laws. Any unauthorized use, reproduction, distribution, or derivative work is strictly prohibited and may be subject to civil and criminal proceedings.
16.2 Copyright Infringement — DMCA-Style Notice
If you believe that any content on the Platform infringes your copyright or other intellectual property rights, please notify our Grievance Officer in writing at halyobookings@gmail.com with:
- Identification of the copyrighted work claimed to have been infringed
- The URL or specific location of the infringing content on the Platform
- Your contact information (name, address, phone, email)
- A statement that you have a good faith belief that the use is not authorized
- A statement, under penalty of applicable law, that the information is accurate
- Your physical or electronic signature
17.1 Platform Integrity
HALYO is committed to maintaining a trustworthy marketplace. The following are prohibited:
- Sending unsolicited commercial messages to Users or Vendors contacted through the Platform
- Bulk or automated inquiry submission
- Creating fake Vendor listings to mislead or deceive Users
- Rating manipulation — coordinating reviews to inflate or deflate ratings
- Operating multiple accounts for anti-competitive purposes
- Using the Platform to conduct phishing, identity theft, or financial fraud
17.2 Reporting Fraud
If you encounter a fraudulent Listing, fake inquiry, or any suspicious activity, report it immediately to halyobookings@gmail.com. HALYO will investigate and take appropriate action including account suspension and, where warranted, referral to law enforcement.
HALYO shall not be liable for any failure or delay in performing its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, storms, or pandemics
- Government orders, lockdowns, regulatory actions, or changes in law
- War, civil unrest, terrorism, or national emergencies
- Internet outages, telecommunications failures, or cyberattacks
- Third-party service provider failures (cloud hosting, SMS gateway, payment processor)
- Power outages or infrastructure failures
HALYO will make reasonable efforts to resume normal service as soon as practicable following a force majeure event and will notify Users of significant disruptions.
HALYO reserves the right at any time, with or without notice, to:
- Modify, add, or remove any feature, tool, or function of the Platform
- Change the structure, design, or navigation of the Platform
- Update, amend, or replace these Terms of Service
- Change pricing for any premium or paid features (with 30 days' prior notice)
- Temporarily suspend the Platform for maintenance, upgrades, or security purposes
- Permanently discontinue the Platform or any part thereof
Continued use of the Platform after any modification constitutes acceptance of the changes. HALYO shall not be liable for any loss or inconvenience arising from Platform modifications or discontinuation.
These Terms of Service shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000; the Digital Personal Data Protection Act, 2023; the Consumer Protection Act, 2019; the Indian Contract Act, 1872; and all other applicable Indian statutes, without regard to conflict of law principles.
21.1 Amicable Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any services, the parties shall first attempt to resolve the dispute amicably through good-faith negotiations. Either party may initiate this process by sending a written notice to halyobookings@gmail.com describing the dispute and the relief sought. The parties shall have 30 days from receipt of such notice to reach an amicable resolution.
21.2 Arbitration
If the dispute is not resolved within 30 days of the written notice, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be:
- Conducted by a sole arbitrator mutually appointed by both parties
- Held in Visakhapatnam (Vizag), Andhra Pradesh, India
- Conducted in the English language
- Governed by the substantive laws of India
The arbitral award shall be final and binding on both parties. Nothing in this clause shall prevent either party from seeking interim relief or injunctive remedies from a court of competent jurisdiction where urgent or irreparable harm is at risk.
21.3 Consumer Forum Rights
Nothing in this arbitration clause shall limit the rights of consumers to approach Consumer Disputes Redressal Commissions under the Consumer Protection Act, 2019 where applicable.
22.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and HALYO and supersede all prior agreements, understandings, and representations.
22.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
22.3 Waiver
HALYO's failure to enforce any provision of these Terms shall not constitute a waiver of HALYO's right to enforce that provision or any other provision in the future.
22.4 Assignment
HALYO may assign its rights and obligations under these Terms to any affiliate, successor, or acquirer without your consent. You may not assign your rights or obligations under these Terms without HALYO's prior written consent.
22.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Vendors are independent parties and not agents, partners, employees, or franchisees of HALYO.
22.6 Language
These Terms are drafted in English. In the event of any conflict between an English version and any translated version, the English version shall prevail.
